Content License & Confidentiality Addendum

1.What this covers

In short: Every question, passage, figure, answer and explanation you can reach through Exam Studio.

“Licensed Content” means the questions, passages, figures, answer choices, correct answers, explanations and related data in Corvano’s question bank that you or your staff can view or use through Exam Studio, in any form, including a Studio exam and its preview. It is HAVRA LLC’s confidential information.

2.Your license

In short: You may build exams from the bank and give them to your own students inside Corvano, while your plan includes Studio.

While your plan includes Exam Studio and you follow this addendum, HAVRA LLC grants your organization a limited, non-exclusive, non-transferable, revocable license to have your staff find and preview Licensed Content in Exam Studio, assemble exams from it, and assign those exams to students who hold your seats, for them to take inside Corvano. Nothing else is licensed.

3.What you may not do

In short: Keep the questions inside Corvano: no copies, no screenshots, no printing, no sharing, no AI tools.

You and your staff must not, and must not help or allow anyone else to:

• copy, screenshot, photograph, record, transcribe, print or download Licensed Content;
• post, publish, email, message or otherwise share it with anyone, or put it on any website, drive, learning platform or social network;
• compile it into your own question bank, worksheets, books, courses or tests, or create versions of it that are substantially similar;
• sell, license or otherwise make it available to anyone outside your organization;
• enter it into any AI tool or model, or use it to train, tune or evaluate one;
• remove, obscure or work around a watermark, preview limit, access control or other protection; or
• use it to prepare anyone for, or to compete with, Corvano’s own products.

Scores, score reports and item statistics that Exam Studio lets you export are not Licensed Content and you may use them to teach your students.

4.Your staff

In short: Everyone who builds exams agrees to the Studio Use Terms. You’re responsible for them.

• Only your staff may use Exam Studio, and only after accepting the Studio Use Terms and turning on two-step verification.
• You are responsible for your staff’s compliance with this addendum as if their actions were your organization’s, including after they leave you. Remove Studio access promptly when someone leaves.
• Tell your students, in plain words, that Studio exams are for them alone and may not be copied or shared.

5.Safeguards

In short: Studio seals questions, marks every screen, limits previews and keeps a record of who saw what.

We protect Licensed Content, and you agree we may do so, by:

• sending questions to students one at a time, encrypted, only when they reach them;
• marking staff previews and student exam screens with a visible, personal watermark;
• limiting how many questions a staff member can preview each day;
• keeping a record of every preview and every question served, with the account and time; and
• reviewing those records and alerting on unusual patterns, such as very fast or very large numbers of previews.

6.If questions leak

In short: Tell us within 72 hours and help us take the material down.

• Tell us at partners@corvano.app within 72 hours of learning that Licensed Content may have been copied, shared or disclosed against this addendum, with what you know.
• Cooperate with us to stop the disclosure: identify the source, recover or delete copies, and help remove material that has been posted.
• If we reasonably suspect a breach, we may review the Studio records for your organization and ask you for information, and you will respond promptly and in good faith.

7.Remedies

In short: We can stop Studio access, go to court to stop a leak, and recover the cost of replacing what leaked.

• If this addendum is breached, we may suspend or end Exam Studio for the person or the organization at once, and may end the partner plan under the Partner Program Terms.
• A disclosure of Licensed Content would cause harm that money alone can’t fix, so we may seek an injunction or other court order to stop or prevent it, without having to post a bond where the law allows.
• Your organization will reimburse our reasonable costs of writing, reviewing and replacing each question disclosed through a breach by your organization or its staff, together with any other damages the law allows and our reasonable legal costs of enforcing this addendum.
• The limitation of liability in the Partner Program Terms does not apply to a breach of this addendum.

8.Ownership

HAVRA LLC owns the Licensed Content and all rights in it. Exams you assemble in Studio are arrangements of Licensed Content and are licensed to you under this addendum, not owned by you. If you send us suggestions about questions or Studio, we may use them without obligation to you.

9.Term and survival

This addendum applies from the time your organization accepts it until your plan no longer includes Exam Studio. Your obligations about confidentiality, restrictions, cooperation and remedies continue for 5 years after that, and for as long after that as the Licensed Content remains confidential.
