Partner Program Terms
These terms are the agreement between HAVRA LLC and an organization that gives its students Corvano through the Corvano Partner Program: a tutoring company, a learning center, an independent tutor, a school, a district or a nonprofit. They cover seats, the shared AI pool, what you can and can’t see about your students, billing and renewal.
The short version
- Seats are for your own students. Each seat gives one student Corvano Plus while they hold it.
- Students choose to join. They see what you’ll see before they accept, and they keep their account if they leave.
- Your seats fill one AI pool that your students share. Practice, explanations and exams never use it.
- Use what you see about students only to teach them. Never sell it, share it or use it for ads.
- Cancel any time; you keep access until the end of the period you paid for.

1.This agreement
In short: By accepting these terms you agree to them for your organization, and you confirm you’re allowed to.
“We”, “us” and “HAVRA LLC” mean HAVRA LLC, a Florida limited liability company that operates Corvano at corvano.app. “You” and “partner” mean the organization named when these terms were accepted.
You accept these terms by ticking the box in the Partner Console, by signing an order form that refers to them, or by using partner seats. The person who accepts confirms they are at least 18 and have authority to bind the organization.
These terms work together with other documents. If they conflict, this order applies, first to last: a Student Data Privacy Agreement you have signed with us; a signed order form; the Content License & Confidentiality Addendum (for Exam Studio); these terms; and the Corvano Terms of Service, which govern every individual account, including your staff’s and your students’. Our Privacy Policy explains how we handle personal information.
2.Words we use
- Seat: a place on your plan that one named student holds at a time.
- Student: a person who has accepted one of your seats.
- Staff: people you invite to the Partner Console as an owner, admin, tutor or teacher, or billing contact.
- Plan and term: the plan you chose (such as Team or Campus) and the period it covers: a month, a year, a semester, a school year, a trial or a pilot.
- Pool and credits: the shared allowance of AI use your seats provide, counted in credits (section 4).
- Console: the Partner Console at corvano.app/partner/console.
- Exam Studio: the console tools for building exams from Corvano’s question bank (section 8).
3.Seats
In short: Seats are for your own enrolled students, one student at a time. Students accept an invitation; you can’t add anyone without them saying yes.
Who may hold a seat
- Seats are only for students you actually teach, tutor or enroll. You may not resell, rent, lend or give seats to anyone else, or sell access to Corvano as a product of its own. Including Corvano in the price of your own tutoring or classes is fine.
- Every student must be at least 13. Schools may add students aged 13 and over only.
- For every student under 18 (or under the age of majority where they live), you confirm that you have their parent’s or guardian’s permission for them to use Corvano through you, or that you are a school acting within your authority to provide educational services.
How students join and leave
- You invite students with a link, a code, a QR poster or an email. Each student accepts on their own screen, after seeing who is offering the seat and what you will be able to see. There is no way to search for or add a Corvano account that hasn’t accepted.
- A student who already has an account keeps everything in it. A student who leaves, or whose seat you remove, keeps their account and returns to the Free plan or to their own paid plan.
- A student can leave at any time from their account, except an account a school manages (section 5), which the school controls.
Changing who holds a seat
Removing a student frees their seat straight away. So that one seat can’t be passed around a whole class, you can remove up to half of your plan’s seats in any calendar month. Removals are unlimited during the first 30 days of a plan or a school term, while rosters settle. Students leaving on their own never count against the limit.
What a seat includes
While a student holds a seat in an active plan, they have Corvano Plus features on Corvano and Corvano Prep, with AI use drawn from your pool as described in section 4. A student who already pays for a higher plan keeps it. A student who pays for their own plan can cancel it; we show them how, but we never cancel it for them.
4.The AI pool and credits
In short: Your seats fill one pool of AI credits that your students share. Credits aren’t money, and unused credits don’t carry over.
- Each seat adds credits to your pool: on tutoring plans, a set number every month; on school plans, a set number for the semester or school year. Your plan page and order form show the amounts.
- AI features (the AI tutor, AI-written sets and tests, study guides, card pictures and free-response grading) use credits. Practice questions, explanations, full-length and section exams, Exam Studio exams, flashcards and every study mode, and assignments do not.
- Each student can use up to the same amount a Corvano Plus subscriber could in the same windows, so no single student can empty the pool. When the pool runs out, each student falls back to their own personal allowance until the pool resets or you add a credit pack. Nothing else locks.
- Credits measure AI use. They have no cash value, can’t be transferred, sold or refunded, and expire when the pool period ends. Credit packs last until the end of the pool period in which you buy them.
- We may make pools larger at any time. We won’t make your pool smaller during a period you have paid for.
5.Student information
In short: You see practice, scores, skills and assignments for students who joined you, and you use it only to teach them.
What you can see
For each student who holds (or has asked for) one of your seats, the console shows: their name and email address, the group you put them in, when they were last active, the practice questions they answered with accuracy by section, domain and skill, their practice-exam scores and score estimates, their streaks, the assignments and Exam Studio exams you set them and their results, and how many pool credits they used. You never see a student’s own study sets, tutor conversations, uploaded notes or study guides, or their payment details, and you see nothing about any account that has not joined you.
How you may use it
- Only to teach, tutor, advise or support the student, and to run your program.
- Never to sell, rent or share with anyone else (except your own staff who need it and your service providers bound by confidentiality), never for advertising or marketing unrelated to your services to that student, and never to build profiles for any other purpose.
- Keep exports (such as the roster CSV or a score export) secure, share them only with staff who need them, and delete them when you no longer need them.
- Follow the privacy and education laws that apply to you, including those that protect minors’ information.
Schools
When a school, district or other educational agency uses Corvano, we act as a “school official” with a legitimate educational interest under the Family Educational Rights and Privacy Act, under the school’s direct control over the use and maintenance of education records. Our Student Data Privacy Agreement sets out those commitments, and we sign it (or your state’s or district’s version) before any student joins. Students who join through a school link that requires the school’s email domain have school-managed accounts: the school decides whether they can leave, and can ask us to delete them.
Our side
We handle students’ personal information as our Privacy Policy describes: no ads on any seat, no sale, AI requests only to providers that keep nothing and don’t train on it, and no name, email or account ID sent with an AI request.
6.Staff accounts and security
In short: You’re responsible for your staff. Owners, admins and Exam Studio users sign in with two-step verification.
- Staff accounts are free and unlimited. Each is one person’s own Corvano account; don’t share them. While your organization is on Corvano (a trial, pilot or paid plan), every active staff member’s account includes Corvano Plus at no extra cost. Their AI use comes from their own Plus allowance, never from your shared pool, and they don’t take a seat.
- You choose each person’s role. Tutors and teachers see only the groups they lead. Owners, admins and anyone using Exam Studio must use two-step verification.
- You are responsible for what your staff do in the console and for removing people who leave your organization.
- Tell us at partners@corvano.app within 72 hours if you believe someone has accessed your console or student information without permission.
7.Plans, trials, billing and renewal
In short: Monthly and annual plans renew automatically until you cancel. Cancel any time and keep access to the end of the paid period.
Prices
Prices are on corvano.app/partner, in the console when you choose a plan, or on your order form or quote, and are in US dollars, before any tax that applies. You pay any sales, use or similar taxes on your purchase, except taxes on our income. If you are tax-exempt, send us your exemption certificate.
Automatic renewal and cancelling
- Monthly and annual plans paid by card renew automatically at the end of each period, at the then-current price, until you cancel. We charge the payment method on file at the start of each period.
- You can cancel any time in the console’s Billing page. Cancelling stops the next renewal; your plan, seats and pool stay active until the end of the period you already paid for.
- We don’t give refunds or credits for partial periods, unused seats or unused credits, except where the law requires it and as stated in the next paragraph.
- Schools: for a school’s first term with us, the school can cancel within 30 days of the term’s start for a full refund of that term.
Seats, credit packs and price changes
- Adding seats mid-period is charged in proportion to the time left. Removing seats takes effect straight away, with no refund or credit for the rest of the period, and you can’t go below the number of students currently seated.
- We may change prices for future periods. We’ll tell you at least 30 days before a change affects you, and you can cancel before it does.
- Founding Partners keep the price they signed up at for 24 months from their first paid period, as long as their plan stays active.
Trials and pilots
- A tutoring trial lasts 14 days, with 10 seats and a smaller pool, and needs no card. When it ends, seats stop unless you choose a plan.
- A school pilot is free for 30 days for up to 40 seats, and starts once the privacy agreement is signed. When it ends, seats stop unless the school buys a plan.
- We offer one trial or pilot per organization.
Invoices
School and assisted plans may be paid by invoice. Invoices are due within 30 days, by card or bank transfer through the invoice link. A purchase-order number goes on the invoice if you give us one; terms printed on a purchase order don’t change these terms. If an invoice is more than 30 days overdue, we may suspend new seats after telling you, and we may suspend the plan if it stays unpaid 15 days after that notice.
Card payments are processed by Stripe. We don’t store full card numbers.
8.Exam Studio
In short: Studio lets you build exams from our question bank. The questions stay inside Corvano, under the Content Addendum.
If your plan includes Exam Studio or you add it, your organization must accept the Content License & Confidentiality Addendum before first use, and each person who builds exams accepts the short Studio Use Terms. Studio exams are delivered only inside Corvano. Scores can be exported; questions can’t.
9.Acceptable use
In short: Use the program honestly, for your own students.
In addition to the rules in the Corvano Terms of Service, you and your staff must not:
- resell, sublicense or share seats, the console or Exam Studio outside your organization;
- add students who haven’t agreed to join, or pressure a student to join as a condition unrelated to your services;
- rotate a seat among several students to get around the seat count or the swap limit;
- copy, scrape, export or collect Corvano’s questions, explanations or other content, except the exports the console offers;
- use Corvano, its content or its data to build a competing product or to train AI models;
- use student information in any way section 5 doesn’t allow; or
- misrepresent your relationship with HAVRA LLC, or suggest Corvano is affiliated with the College Board or ACT.
10.Names, logos and publicity
In short: We show your name and logo to your students. We name you publicly only with your permission.
- You let us show your organization’s name and the logo you upload to your students and invitees: on the join page, their dashboard and in invitation emails. You confirm you have the right to use that logo.
- You may tell your students and families that you provide Corvano, and use the Corvano name for that. Don’t change our logo or suggest we endorse your services.
- We won’t name you publicly as a partner or quote you without your permission. Founding Partners give that permission when they join the Founding Partner offer, and approve any quote before we use it.
11.Suspension and ending
In short: If a plan ends, students keep their accounts and return to Free, and you lose access to their information.
- You can end your plan by cancelling as described in section 7.
- We may suspend or end your plan, a staff account or Exam Studio access if you seriously or repeatedly break these terms, misuse student information, leak Exam Studio content, don’t pay, or if we must to comply with the law. Where we can, we tell you first and give you a chance to fix the problem.
- When a plan ends: seats stop; students keep their accounts, sets and history and return to the Free plan or their own plan; your staff lose access to the console and to your students’ information. Records we must keep for billing, security or legal reasons stay with us as our Privacy Policy describes.
- A school can ask us to delete the accounts it manages when its contract ends or at any time, as its privacy agreement provides.
- Sections 5, 9 and 12 to 18 continue after the plan ends.
12.Confidentiality
Each of us will keep the other’s non-public business information (such as pricing in a quote, our question bank, or your student roster) confidential, use it only for this agreement, and protect it with reasonable care. This doesn’t cover information that is public through no fault of the receiving party, that the receiving party already had or independently developed, or that must be disclosed by law (with notice to the other party where the law allows).
13.Promises and disclaimers
In short: We run Corvano with care, but practice scores are estimates, and we can’t promise results or perfect uptime.
We will provide the program with reasonable skill and care, and we won’t materially reduce what a seat includes during a period you have paid for. Except for that, and to the extent the law allows, Corvano is provided “as is” and “as available”, without other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Practice scores and estimates are not official scores, and we don’t promise any score, grade, admission or other result, or that Corvano will be uninterrupted or error-free.
14.Limitation of liability
To the extent the law allows: neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue; and each party’s total liability arising out of this agreement is limited to the amounts you paid us under it in the 12 months before the event giving rise to the claim. These limits don’t apply to your payment obligations, to a party’s breach of section 5 or 12, to your breach of the Content License & Confidentiality Addendum, to either party’s indemnity obligations, or to fraud, gross negligence or willful misconduct.
15.Indemnity
You will defend and indemnify HAVRA LLC against third-party claims arising from your breach of sections 3, 5 or 9 (including a claim that a student was added without the permission section 3 requires), and from the logo or other material you upload. We will defend and indemnify you against third-party claims that Corvano’s own content, as we provide it, infringes someone’s intellectual property. The party claiming indemnity must tell the other promptly, let it control the defense, and cooperate. Public schools and agencies indemnify only to the extent the law allows them to.
16.Changes to these terms
We may update these terms. For a change that materially affects you, we’ll give at least 30 days’ notice by email or in the console, and the change applies from your next period. If you don’t agree, you can cancel before it applies. A signed order form or privacy agreement changes only if both of us sign the change.
17.Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Florida, and each of us agrees to their jurisdiction. If you are a public school, district or government body and the law that governs you requires a different governing law, venue or process, that requirement applies instead, and your order form or privacy agreement may say so. Either party may seek an injunction in any court to protect its confidential information, intellectual property or student information.
18.General terms
- This agreement, with the documents listed in section 1, is the whole agreement about the Partner Program.
- Neither of us may assign it without the other’s consent, except to a successor in a merger, acquisition or sale of assets.
- We are independent contractors. Nothing here creates a partnership, joint venture or employment relationship.
- If a provision can’t be enforced, the rest still applies. Not enforcing a provision isn’t a waiver.
- Neither of us is responsible for delays caused by events beyond reasonable control.
- Notices to us go to partners@corvano.app; notices to you go to the billing email or an owner’s email in the console.
