Prior version, in effect until November 16, 2026. This is the Terms of Service as published on October 7, 2026. Version 3.0 has applied to new accounts since October 25, 2026, and it applies to an older account when that account accepts it or on November 16, 2026, whichever comes first. Read the current Terms of Service or see what changed.

Terms of Service

Effective October 7, 2026

These Terms are an agreement between you and HAVRA LLC about using Corvano: everything at corvano.app, including Corvano’s flashcards, study sets, practice tests, AI study tools and Corbie the tutor, and Corvano Prep, our SAT and ACT practice. They are one service with one account, called “Corvano” below.

The short version

  • You must be 13 or older. If you’re under 18, a parent or guardian must agree to these Terms too.
  • Monthly and yearly plans renew automatically until you cancel. You can cancel online any time and keep your plan until the period ends. We don’t refund partial periods, except where the law requires.
  • Plus until test day is a single payment that never renews. A free trial needs a card and becomes a paid plan unless you cancel before it ends; one per person and per card. Plus Week and other free Plus time need no card and end on their own.
  • AI can be wrong. Check what it tells you. Practice scores are estimates, and we can’t promise a better test score.
  • What you create is yours. You let us store and process it to run Corvano, including through AI providers.
  • Use Corvano to learn, never to cheat, copy our question bank or harm anyone.
  • Most disputes go to individual arbitration, not court, unless you opt out within 30 days (section 19).

1.Agreeing to these Terms

In short: By creating an account or using Corvano, you agree to these Terms and to our Privacy Policy’s description of how we handle information.

By creating an account, buying a plan or otherwise using Corvano, you agree to these Terms. Our Privacy Policy explains how we handle your information and is part of these Terms. If you don’t agree, don’t use Corvano.

Please read section 19 carefully. It says that most disputes between you and HAVRA LLC will be decided by binding individual arbitration instead of in court, and that you give up the right to a jury trial and to take part in a class action. You can opt out of arbitration within 30 days, as section 19 explains.

2.Who can use Corvano

In short: You need to be at least 13. Under 18? Your parent or guardian agrees to these Terms with you and is responsible for your use.

  • Age. You must be at least 13 years old. Children under 13 may not use Corvano, and we delete accounts we learn belong to them.
  • Under 18. If you are under 18 (or under the age of majority where you live), you may use Corvano only with the involvement of a parent or legal guardian. By letting you use Corvano, your parent or guardian agrees to these Terms on your behalf and on their own, including section 19, and is responsible for your use of Corvano and for any purchase. If you are a parent or guardian, please read these Terms with your teen.
  • Where you are. You may not use Corvano if you are located in a country subject to a US government embargo, or if you are on a US government list of restricted parties.
  • Past removals. You may not use Corvano if we have previously banned your account.

3.Your account

In short: One account per person. Keep your password to yourself and tell us if someone else gets in.

  • Give accurate information when you sign up and keep your email address up to date; it’s how we reach you.
  • An account is for one person. Don’t share it, sell it, or let anyone else use it.
  • Keep your password secret. You are responsible for what happens in your account.
  • If you think someone else has used your account, change your password and tell us at legal@corvano.app.
  • Don’t create more than one account to get extra free allowance, trials, free Plus time, invite rewards or other benefits.

Plus from a tutor or school

  • A tutoring company, tutor or school can give you a seat that includes Corvano Plus. You join only by accepting their invitation, after seeing what they will be able to see (our Privacy Policy explains it). While you hold the seat, your AI use comes from their shared allowance and these Terms still apply to you.
  • You can leave at any time from your account page, unless your school manages your account. When you leave, or the seat ends, you keep your account and everything in it, and return to the Free plan or to your own plan.
  • If you’re on the staff of an organization in the Partner Program, your account includes Corvano Plus while that organization is on Corvano. Your AI use comes from your own Plus allowance. When you leave the staff, or the organization’s plan ends, you return to the Free plan or to your own plan.
  • If you also pay for your own plan, you keep whichever plan is higher. Your seat or staff role doesn’t cancel your subscription; you can cancel it yourself from your account page.
  • Organizations that give seats agree to our Partner Program Terms.

4.What Corvano is, and isn’t

In short: Corvano is a study tool with original practice material. It is not the official SAT or ACT, and practice scores are only estimates.

Corvano lets you make and study flashcards and sets, practise with our own questions and practice exams, and use AI tools that explain, quiz and build study material. Corvano Prep offers SAT and ACT practice today; practice for other exams we mention as “in development” is not yet offered.

  • Original practice material. Our questions are original material written to the published test blueprints. They are not official test questions, and our practice exams are not official tests.
  • Estimates, not results. Scores, score ranges, predictions and skill ratings are estimates from your practice. They are not official scores and may differ from what you get on test day.
  • No guarantee. We work hard to help you improve, but we don’t promise any particular score, grade, admission or result.
  • Not affiliated. SAT® is a trademark registered by the College Board. ACT® is a registered trademark of ACT Education Corp. Neither was involved in the production of, or endorses, Corvano. Other exam names are trademarks of their owners, who likewise are not affiliated with Corvano.
  • A study aid. Corvano is not a school, a teacher of record, or a source of professional, medical, legal or mental-health advice.

5.Plans, payments and renewal

In short: Monthly and yearly plans charge you every period until you cancel. Cancel online any time; you keep your plan until the end of the period you’ve paid for. Plus until test day is one payment that never renews, and free Plus time ends on its own. No refunds for partial periods, except where the law requires.

Plans and prices

Corvano has a free plan and paid plans. The current plans, what each includes, their prices and billing periods, and any free trial or offer are shown on our pricing page and again at checkout before you pay. Prices are in US dollars. Any taxes that apply where you live are your responsibility, unless we are required to collect them, in which case they are shown at checkout.

Payments are processed by Stripe. By buying a plan you authorize us, through Stripe, to charge your payment method for the plan you choose. You must be allowed to use that payment method. If you are under 18, a parent or guardian must make or approve the purchase. A parent or guardian can also pay through a payment link you send them (see A parent or guardian paying below).

Automatic renewal

Monthly and yearly plans are subscriptions that renew automatically. At the end of each billing period (a month or a year, as you chose), your plan renews for another period of the same length and we charge the price then in effect for that plan to your payment method, until you cancel. The price, billing period and renewal terms are shown next to the button you use to subscribe and on the checkout page.

Plus until test day

Plus until test day is a single payment for Corvano Plus that lasts until a fixed end date. We offer it when your account has an SAT or ACT test date coming up. It ends shortly after your test date; the price and the exact end date are shown before you pay and on the checkout page.

  • It never renews. It is not a subscription: there is nothing to cancel, and you are never charged for it again. When it ends, your account moves to the free plan, or to your own plan if you have one.
  • The end date is fixed when you buy it. Changing your test date afterwards doesn’t move it.
  • Refunds follow the Refunds paragraph below. If a payment for a pass is refunded in full or disputed with your bank, the pass ends. If you buy a second pass while one that ends as late or later is still active, we refund the second.

Offers

From time to time we may offer some students a discount on the first payment, or the first few payments, of a plan, for example after a test date. An offer shows the discount, which payments it covers, the regular price that applies after it, and the date and time it ends in your own time zone. To use it, start checkout before it ends.

  • Each offer can be used once per account and can’t be combined with another discount. An offer replaces a plan’s free trial.
  • After the discounted payments, your plan renews automatically at the regular price then in effect, as described above, until you cancel.
  • If an offer has ended or no longer applies to you when you check out, we tell you before you pay, and you can continue at the regular price or stop.

Free trials

Some plans come with a free trial when we offer one, such as Try Plus free: Corvano Plus free for 7 days, then Plus at its regular price. The trial’s length, the price after it and the last day to cancel without being charged are shown on our pricing page and again at checkout before you start.

  • A card is required. You give a payment card at checkout (a trial can’t be started with other payment methods). Nothing is charged during the trial. A trial that has no card to charge is cancelled.
  • It becomes a paid plan unless you cancel. When the trial ends, your subscription starts automatically at the price shown at checkout, monthly or yearly as you chose, and renews until you cancel (see Automatic renewal). Cancel any time during the trial in Account › Manage billing and you pay nothing; you keep the plan until the trial ends. We email a reminder a few days before the first charge.
  • What’s included. A trial includes the plan’s features. It may come with a smaller AI allowance than the paid plan, as shown before you start.
  • Switching plans ends the trial. A trial is for the plan you started it on. If you switch to another plan during the trial, the trial ends and the new plan is charged straight away.
  • One per person and per card. Each person may have one free trial of any plan, and a person who has had Plus Week doesn’t get a trial. We treat variations of one email address (such as a +tag, or dots in a Gmail address) as the same person, across accounts and after an account is deleted, and a payment card that has already been used for a Corvano trial can’t start another. If a trial starts anyway, we may end it straight away, and the card is then charged the price shown at checkout.
  • Not with discounts or parent payment links. An offer or other discount replaces the free trial, and a payment made through a parent payment link has no free trial.

Plus Week and the other free Plus time described below are not free trials: they need no card and never turn into a paid plan. We offer them only when we say so, and not while we offer the Plus free trial.

Plus Week and other free Plus time

We sometimes give Corvano Plus for a limited time without payment: Plus Week, a week of Plus for a new account when we offer it, and the free time described under Invite rewards.

  • No card and no charge. Free Plus time doesn’t need a payment card, isn’t a subscription and never turns into one. It ends on its own at the time shown in your account, and your account then moves to the free plan (or to your own plan). Nothing you made is lost.
  • Who gets Plus Week. A new account with a confirmed email address, once per person. An account made with an email address that has already had Plus Week doesn’t get another, even after the first account is deleted; we treat variations of one address (such as a +tag, or dots in a Gmail address) as the same address. We decide when Plus Week is offered and may change or stop it at any time, and accounts created before we started offering it don’t get it.
  • What’s included. Free Plus time includes Plus’s features. It may come with a smaller AI allowance than a paid plan; your account page shows your allowance.
  • Limits. Free time from different sources adds up, to at most 120 days ahead. It has no cash value, can’t be transferred or exchanged, and we may end free time that was obtained by breaking these Terms.

Invite rewards

Your Invite page has a personal link you can share. When someone joins Corvano with it, you can both earn rewards. Rewards are Corvano Plus time or, if you already pay for a plan, credit on your Corvano account. They are never cash.

  • Your friend must create a new Corvano account with your link and be someone other than you. Once they confirm their email address and answer the number of practice questions shown on your Invite page, they get free Plus time (once per person, the same way as Plus Week), and you get your reward at the same moment.
  • If your friend pays. When your friend’s first payment for a plan or a pass has cleared, and the waiting period shown on your Invite page has passed without a refund or a dispute, you get more Plus time or credit. Credit is never more than your friend paid.
  • Credit is applied by our payment processor to your future Corvano payments. It has no cash value, can’t be withdrawn or transferred, and isn’t paid out if you cancel or delete your account.
  • Limits. The number of rewards you can earn each year is shown on your Invite page. After that, your friends still get their free time, but you earn nothing more that year. There is also a yearly limit on how many people can join with one link.
  • Sharing. Share your link with people you know. Don’t spam it, post it in ads or on coupon sites, pay or pressure anyone to use it, or hide that you get a reward for it (the message we prepare for you says so). Corvano never sends invitations for you.
  • Review and abuse. We may hold a reward for review (for example, when a friend signs up from the same network as you), and we may refuse, withhold or take back rewards obtained through fake, duplicate or self-made accounts, or by breaking these Terms. If your account is closed, rewards it would have earned are withheld. We may change or end invite rewards at any time; rewards you have already received stay yours unless they were obtained by abuse.

A parent or guardian paying

A student can send a parent or guardian a private payment link for Corvano Plus: monthly, yearly, or Plus until test day. The page it opens shows the plan, the price and how it renews or ends, and nothing about the student.

  • The person who pays confirms that they are the student’s parent or legal guardian, and agrees to these Terms as the purchaser, including this section’s renewal terms and section 19. We record when they agreed and which version of these Terms they saw.
  • The plan belongs to the student’s account. Our payment processor sends receipts to the email address the payer enters at checkout. The student can see the plan, its receipts, the billing email and the card’s brand and last four digits in their account’s billing page, and can cancel the plan or change the card there.
  • A subscription paid this way renews like any other until it is cancelled. The student can cancel it from their account. The payer can cancel it by emailing support@corvano.app from the email address the receipt was sent to; we cancel it and confirm by email. Either way the plan stays on until the end of the period already paid for. Our help page for parents explains the steps.
  • A payment link works once and stops working after a few days.

Cancelling

You can cancel at any time, online, in Corvano: go to Account and choose Manage billing, or use the cancel by email link beside it, or write to legal@corvano.app from the address on your account. Cancelling stops future renewals. You keep your paid features until the end of the period you have already paid for, and then your account moves to the free plan. Nothing else about your account changes. If a parent or guardian paid for your plan, they can also cancel it as described in A parent or guardian paying. Plus until test day and free Plus time have nothing to cancel.

Refunds

Payments are non-refundable, and we don’t give refunds or credits for partial billing periods, unused time or unused features, except where the law requires otherwise. If you live in a place whose law gives you a right to cancel a purchase and get your money back (for example, a 14-day right of withdrawal in the European Economic Area or the United Kingdom), email us and we’ll honor it as that law requires. If you delete your account while a paid plan is active, the plan is cancelled immediately and the rest of the period is not refunded. The same rules apply to Plus until test day.

Price changes and plan changes

We may change the price of a plan. If the price of your plan goes up, we’ll tell you by email before the change applies to you, at least 7 days (and in California no more than 30 days) before it takes effect, and you can cancel before then. You can switch between paid plans in Manage billing; any credit or extra charge for the change is calculated and shown by our payment processor.

Failed payments

If a payment fails, we or Stripe may try again. If it keeps failing, we may move your account to the free plan. If you dispute a charge with your bank instead of contacting us, we may suspend paid features while the dispute is open.

6.Free plan, ads and usage limits

In short: The free plan is paid for by ads and has limits. Every plan has an AI allowance that refreshes over time. Limits can change.

  • Ads. The free plan shows ads, including optional ads you can watch to refill hearts early. Some free features need ads to load, and may ask you to turn off an ad blocker or upgrade. Paid plans have no ads.
  • AI allowance. Every plan includes an allowance for AI features, measured over usage windows (currently each five-hour session and each week), plus daily limits on some features. Paid plans have larger allowances. Your account page shows where you stand, and AI actions show an estimate before you start. Reset coupons, when your plan includes them, start a fresh session early.
  • Hearts and other limits. Free practice uses hearts: after a number of wrong answers, new questions pause for a while. Some features, such as full-length practice exams, are only on paid plans.
  • Changes. We may change the free plan, its limits and the features it includes, and we may adjust allowances to keep Corvano reliable and affordable. If we materially reduce what a paid plan includes, we’ll tell you in advance, and you can cancel.
  • Fair use. Don’t try to get around limits, for example with several accounts, scripts or automated use.

7.AI features

In short: Corbie and our other AI tools are computer programs. They can be wrong, so check what they say. What you send them is processed by AI providers to produce the answer.

  • AI, not a person. Corbie and the other tutors are AI systems, not people. They are study aids, not teachers, counselors or professionals.
  • It can be wrong. AI output can be inaccurate, incomplete, out of date or inappropriate, and may look confident when it isn’t right. Check important information against your class materials, the written explanations, official test materials or a teacher. AI-graded answers and AI-made tests are practice only.
  • How it works. To produce a result, what you send (and the cards, question or document involved) is processed by AI model providers through our AI routing service. We don’t send your name, email or account ID. The Privacy Policy explains which providers are involved and what they may keep.
  • What you put in. Don’t enter personal information about yourself or others, anything sensitive, or content you don’t have the right to use. Don’t try to make the AI produce harmful, illegal or explicit content or get around its safety rules.
  • What comes out. As between you and us, you may use AI output made for you for your own studying. Output isn’t unique: similar requests can produce similar results for others.
  • If you’re struggling. Corvano’s AI can’t help with a crisis. If you’re going through something hard, talk to someone you trust. In the US you can call or text 988 at any time.

8.Your content

In short: What you create stays yours. You give us permission to store, process and show it as needed to run Corvano for you. We don’t train AI on it.

“Your content” means what you create or upload in Corvano: sets, cards, images, audio, notes, files, messages to the tutors, answers and anything else you submit.

  • You own it. You keep all rights you have in your content.
  • Our license to run Corvano. You give HAVRA LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, process (including by sending it to AI model providers acting for us), adapt (for example, reformatting it or generating pictures or questions from it), display and transmit your content, only as needed to provide, secure and improve Corvano for you and, for sets you share, for the people you share them with, and to comply with the law. We don’t sell your content and don’t use it to train AI models.
  • How long the license lasts. It ends when you delete the content or your account, except for copies others made of sets you shared (section 9), copies in backups until they expire, and what the law requires us to keep.
  • Your promises. You have the rights needed to upload and share your content, and it doesn’t break these Terms or anyone else’s rights. When you import sets from another service, import only content you are allowed to use.
  • Our right to remove. We don’t review all content, but we may remove or restrict content that we believe breaks these Terms or the law, or that could harm someone.
  • Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

9.Public and shared sets

In short: Sets are private unless you share them. If you make a set public, other Corvano users can study it and copy it.

New sets are private. If you make a set public, or share an unlisted or password-protected link, you let other Corvano users who can see it read it, study it, save it and copy it into their own accounts for their personal, non-commercial studying, along with your display name. You can make a set private again or delete it at any time; copies others already made remain theirs to study. Only share content you have the right to share, and never share anyone’s personal information. You can report a set that breaks these Terms from its page.

10.Rules for using Corvano

In short: Learn honestly, respect others, and leave our systems and question bank alone.

Academic integrity

  • Don’t use Corvano to cheat: not during a real SAT, ACT or other exam, and not on schoolwork, tests or assignments where outside help isn’t allowed. Follow your school’s and your teachers’ rules.
  • Don’t upload, share or ask about questions from real, secure exams (such as live SAT or ACT test questions) in breach of the test maker’s rules.

Conduct and content

Don’t use Corvano to create, upload or share anything that:

  • is illegal, or promotes illegal activity, violence, self-harm or dangerous acts;
  • harasses, bullies, threatens or discriminates against anyone, or is hateful;
  • is sexually explicit, or sexualizes minors in any way;
  • shares someone else’s personal information, or impersonates any person or organization;
  • infringes someone else’s copyright, trademark, privacy or other rights;
  • contains malware, spam or advertising.

Our systems

Don’t:

  • scrape, crawl, bulk-download or copy Corvano’s questions, explanations or other content, or use bots or automated tools to access Corvano, except for the exports we provide for your own sets;
  • try to see answers before you answer, extract answer keys, or interfere with grading, scoring or timing;
  • probe, test or break our security, reverse engineer Corvano, or access accounts, data or systems that aren’t yours (if you find a vulnerability, tell us at legal@corvano.app);
  • overload or disrupt Corvano, or get around usage limits, trials, payments or safety features;
  • click ads you’re not interested in, or make others click them, to generate ad revenue;
  • use Corvano, its content or its AI output to build a competing product or train AI models;
  • resell or commercially exploit Corvano without our written permission (for tutoring companies and schools, our Partner Program Terms are that permission, on their terms).

11.Our content

In short: Our questions, explanations, software and brand belong to us. You may use them for your own studying.

Corvano, including its practice questions, explanations, practice exams, software, design, logos and the Corbie character, is owned by HAVRA LLC or its licensors and protected by copyright, trademark and other laws. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use Corvano for your own non-commercial studying under these Terms. All other rights are reserved. Open-source software and public data used in Corvano are provided under their own licenses, listed on our open-source notices page.

12.Copyright complaints

In short: If you think something on Corvano infringes your copyright, send us a notice. Repeat infringers lose their accounts.

We respect copyright and respond to notices of claimed infringement under the US Digital Millennium Copyright Act (DMCA). Our designated agent for copyright notices is:

HAVRA LLC Attn: Copyright Agent legal@corvano.app

Sending a notice

Your notice must be in writing and include:

  1. your physical or electronic signature;
  2. a description of the copyrighted work you believe has been infringed;
  3. where the material you claim is infringing is on Corvano (such as the set’s link), in enough detail for us to find it;
  4. your name, address, telephone number and email address;
  5. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
  6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

Counter-notices

If we remove your content because of a notice and you believe that was a mistake or that you have the right to use it, you can send a counter-notice to the same agent including: your physical or electronic signature; identification of the material and where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address and telephone number, with a statement that you consent to the jurisdiction of the federal district court for the judicial district where your address is (or, if you are outside the United States, any judicial district in which HAVRA LLC may be found), and that you will accept service of process from the person who sent the original notice or their agent. We may then restore the material in 10 to 14 business days unless the complaining party tells us it has filed a court action.

Knowingly misrepresenting that material is infringing, or that it was removed by mistake, can make you liable for damages.

Repeat infringers

We end the accounts of users who repeatedly infringe copyright, in appropriate circumstances, and we may remove content or restrict accounts after a single notice.

13.Other services

In short: Corvano relies on other companies, like Stripe and Google. Their own terms apply to what they do.

Corvano uses third-party services to work, including payment processing by Stripe, ads and analytics by Google, and AI model providers. Your use of those services may also be subject to their terms and privacy policies. Corvano may link to other websites and use public data such as PubChem; we don’t control and aren’t responsible for third-party sites or services.

14.Suspension and termination

In short: You can leave any time by deleting your account. We can suspend or close accounts that break these Terms.

  • You can stop using Corvano at any time, and delete your account from your account page. Deleting your account deletes your data as the Privacy Policy describes, cancels any paid plan immediately and ends any Plus until test day or free Plus time, without a refund for the rest of the period.
  • We may suspend or end your access, remove content, or delete your account if you break these Terms, if we must do so by law, if your use creates risk or harm for others or for Corvano, or if we learn you are under 13. Where it’s reasonable, we’ll tell you first and give you a chance to fix the problem. If we end a paid plan without a good reason under these Terms, we’ll refund the unused part of the period.
  • Automated checks. Sets are checked automatically when they are saved, imported, copied or reported. A set that appears to break these Terms is hidden while a second automated review looks at it, and that review can remove the set or, for serious or repeated breaks, close the account straight away, without a warning first. When we close an account, a paid plan stops renewing (the current period is not refunded), and we may block the networks the account was used from. If you think a decision was wrong, email support@corvano.app and a person will review it; if it was wrong, we restore your account and your sets.
  • What survives. Sections that by their nature should continue after your account ends do so, including sections 9 (for copies others already made), 11, 12 and 16 through 22.

15.Changes to Corvano and these Terms

In short: Corvano will change over time, and so may these Terms. We’ll tell you about important changes before they apply.

  • Corvano changes. We are always improving Corvano, and we may add, change or remove features, or stop offering Corvano altogether. If we stop offering Corvano, we’ll give you reasonable notice where we can, a chance to download your data, and a pro-rata refund for any prepaid period that is left.
  • Terms changes. We may update these Terms. We’ll post the new version here with a new effective date, and for material changes we’ll tell you by email or in Corvano at least 14 days before they take effect, unless the change is required by law or needed urgently for safety. If you keep using Corvano after a change takes effect, you accept it. If you don’t agree, stop using Corvano and cancel any paid plan before the change takes effect. Changes don’t apply to a dispute already underway when they are posted.

16.Disclaimers

In short: We provide Corvano as it is. We do our best, but we can’t promise it will always be perfect, available or right.

To the fullest extent the law allows, Corvano, its content and its AI output are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment. We don’t warrant that Corvano will be uninterrupted, secure or error-free, that content or AI output will be accurate or complete, that defects will be corrected, or that Corvano will help you reach any score, grade or admission result.

Some places don’t allow certain warranties to be disclaimed, so some of this may not apply to you. Nothing in these Terms limits rights you have as a consumer that the law says can’t be limited.

17.Limitation of liability

In short: If something goes wrong, our responsibility is limited to the larger of what you paid us in the last 12 months or US$50, where the law allows.

To the fullest extent the law allows, HAVRA LLC and its members, managers, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity (including admission or scholarship opportunities), arising out of or related to Corvano or these Terms, even if we were told they were possible.

Our total liability for all claims arising out of or related to Corvano or these Terms is limited to the greater of (a) the amount you paid us for Corvano in the 12 months before the event giving rise to the claim, or (b) US$50.

These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose. They don’t limit liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or anything else that the law does not allow to be limited. Some places don’t allow these limits, so they may not fully apply to you.

18.Indemnity

In short: If your misuse of Corvano causes a legal claim against us, you (or your parent or guardian) agree to cover it.

To the extent the law allows, you agree to defend, indemnify and hold harmless HAVRA LLC and its members, managers, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from your content, your misuse of Corvano, your breach of these Terms, or your violation of any law or of someone else’s rights. If you are under 18, your parent or guardian makes this promise for you. We will tell you about any such claim and may take over its defense, in which case you agree to cooperate.

19.Disputes and arbitration

In short: If we disagree, let’s try to sort it out by email first. If we can’t, most disputes go to individual arbitration, not court. You can opt out within 30 days.

This section applies to any dispute, claim or controversy between you and HAVRA LLC arising out of or relating to Corvano or these Terms, whether based in contract, statute, tort or any other legal theory (a “Dispute”). It does not apply to you if you live in the European Economic Area, the United Kingdom or Switzerland.

1. Try to resolve it first

Before starting arbitration or a small-claims case, the person raising a Dispute must send a written notice describing it and the relief sought, with their name and account email address: to us at legal@corvano.app, or from us to the email address on your account. We will both try in good faith to resolve it for 60 days after the notice is received. Deadlines to bring a claim are paused during that time.

2. Binding individual arbitration

If the Dispute isn’t resolved, you and HAVRA LLC agree to resolve it by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitrator decides all issues, except that a court decides questions about the validity, scope or enforceability of the class action waiver below and of the batching procedure in part 6. Hearings may be held by video or telephone, or on written submissions alone if the claim is for US$10,000 or less, unless the arbitrator decides an in-person hearing is needed; an in-person hearing will be held in the county where you live unless we both agree otherwise. Fees are paid as the AAA’s consumer rules provide. If you show the arbitrator that the costs of arbitration would be prohibitive compared with court, we will pay as much of them as the arbitrator decides is needed to prevent that. The arbitrator may award the same individual relief a court could, but only in favor of the individual party seeking it and only to the extent needed for that party’s individual claim.

3. Exceptions

Either of us may bring an individual claim in small-claims court if it qualifies there and stays there. Either of us may ask a court for an injunction or other equitable relief to stop the infringement or misuse of intellectual property, or unauthorized access to or abuse of Corvano. Where the law allows you to seek public injunctive relief, that request will be decided by a court after the individual arbitration of your other claims is finished.

4. No class actions

You and HAVRA LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. You and HAVRA LLC each give up the right to a jury trial.

5. Opting out

You can opt out of this arbitration agreement by emailing legal@corvano.app within 30 days after you first accept these Terms, with your name, your account email address and a clear statement that you want to opt out of arbitration. Opting out doesn’t affect any other part of these Terms. If we change this section in a material way, you can reject the change by emailing us within 30 days after it takes effect, and the earlier version will continue to apply to you.

6. Many similar claims

If 25 or more similar Disputes are filed against HAVRA LLC by the same or coordinated counsel, they will be administered in batches under the AAA’s Mass Arbitration Supplementary Rules, and the deadlines and fees that apply will follow those rules.

7. If part of this section is not enforceable

If the class action waiver is found unenforceable for a particular claim or request for relief, that claim or request will be decided by a court, not in arbitration, and not as a class. If this arbitration agreement as a whole is found unenforceable for you (including because you or your parent or guardian validly disaffirm it), Disputes will be resolved in the courts described in section 20. In every case the rest of these Terms stays in effect.

20.Governing law and courts

In short: Florida law applies. Anything that isn’t arbitrated goes to courts in Florida, unless your local law gives you the right to use your own courts.

These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. Any Dispute that is not subject to arbitration (or that is excluded from it) will be brought only in the state or federal courts located in Florida, and you and HAVRA LLC consent to their personal jurisdiction, except that small-claims cases may be brought where you live. If you live outside the United States and the law of your country gives you the right to bring a claim in your local courts, or protects you with rules of your local law that can’t be waived, nothing here takes that right away.

21.General terms

In short: The usual legal housekeeping.

  • Entire agreement. These Terms, with the Privacy Policy and any terms shown when you buy a plan, are the whole agreement between you and HAVRA LLC about Corvano and replace any earlier agreements about it.
  • Severability. If any part of these Terms is found unenforceable, it will be enforced as far as possible and the rest stays in full effect.
  • No waiver. If we don’t enforce a part of these Terms, we haven’t given up the right to do so later.
  • Assignment. You may not transfer your rights or duties under these Terms without our written consent. We may transfer ours as part of a merger, acquisition, reorganization or sale of assets, or to an affiliate.
  • Events outside our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control, such as outages of the services we rely on, natural disasters or government action.
  • Electronic communications. You agree that we may send notices, agreements and other communications electronically, by email to your account address or in Corvano, and that they satisfy any legal requirement to be in writing. Notices to us must be sent to legal@corvano.app.
  • Relationship. Nothing in these Terms creates a partnership, employment, agency or fiduciary relationship. There are no third-party beneficiaries of these Terms.
  • Headings and examples. Headings and the “In short” summaries help you read these Terms; the full text controls. Words like “including” mean “including without limitation”.
  • Survival. Any part of these Terms that by its nature should survive after your account ends will survive, including ownership, disclaimers, limits of liability, indemnity and dispute resolution.

22.Notices for specific places

In short: Extra information some places require.

  • California. Under California Civil Code Section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
  • New Jersey. Nothing in these Terms limits any right you have under New Jersey law that can’t be limited, and the disclaimers and limits in sections 16 and 17 apply only as far as New Jersey law allows.
  • European Economic Area, United Kingdom and Switzerland. You have the benefit of the mandatory consumer protections of the law of the country where you live, including rights to have digital content and services that conform to the contract. Section 19 (arbitration) does not apply to you.
