Partner Program Terms
This is the new version 2.0, which takes effect on November 16, 2026. Until then, the current version applies. See every document that is changing.
Version 2.0 · Effective date: November 16, 2026 · Last updated: October 13, 2026
These Partner Program Terms (the "Partner Terms") are the agreement between Havra LLC, a Florida limited liability company that operates Corvano ("Havra", "we", "us"), and an organization that gives its students Corvano through the Corvano Partner Program: a tutoring company, a learning center, an independent tutor, a school, a district, a charter network or a nonprofit ("you", the "Partner").
The short version
This summary helps you read the Partner Terms. The full text below is what counts.
- Seats are for your own students. Each Seat gives one Student Corvano Plus while they hold it.
- Students choose to join. They see what you'll see before they accept, and they keep their account if they leave (except a School-managed Account, which the School controls as the DPA provides).
- Your Seats fill one AI Pool that your Students share. Practice questions, their written explanations and exams never use it; AI features such as the tutor, hints and graded written answers do.
- Use what you see about Students only to teach and support them. Never sell it, share it or use it for advertising.
- Card plans renew automatically until you cancel. Cancel at any time and keep access until the end of the period you paid for.
- Schools sign our Student Data Privacy Agreement (or their own) before any student joins.
1.This agreement
1.1 Accepting. You accept the Partner Terms by ticking the box in the Partner Console, by signing an Order Form that refers to them, or by using Partner Seats. The person who accepts confirms that they are at least 18 and have authority to bind the Partner.
1.2 Documents and their order. The Partner Terms work together with other documents. If they conflict, this order applies, first to last: a student data privacy agreement you have signed with us (our Student Data Privacy Agreement or your state's or district's version) (the "DPA"); a signed Order Form; the Content License & Confidentiality Addendum (for Exam Studio); the Partner Terms; and the Corvano Terms of Service, which govern every individual Account, including your Staff's and your Students'. Terms printed on a purchase order or on your own forms don't apply, even if signed or accepted, unless a signed Order Form lists them. A DPA controls only on the protection, use, security and deletion of Student Data; sections 14 (limitation of liability), 15 (indemnity), 17 (governing law and disputes) and 18 (general terms) apply to it unless that DPA, signed by Havra, names the section it replaces. Our Privacy Policy explains how we handle personal information.
2.Words we use
- Seat: a place on your Plan that one Student holds at a time.
- Student: a person who has accepted, or asked to accept, one of your Seats.
- Staff: people you invite to the Console as an owner, admin, tutor or teacher, or billing contact.
- Plan and Term: the plan you chose (such as Solo, Team, Center, Classroom or Campus) and the period it covers: a month, a year, a semester, a school year, a trial or a pilot.
- Pool and Credits: the shared allowance of AI use your Seats provide, counted in Credits (section 4).
- Console: the Partner Console at corvano.app/partner/console.
- Exam Studio: the Console tools for building exams from Corvano's question bank (section 8).
- Student Information: information about a Student that the Console, its exports or Corvano's emails to your Staff show you.
- School: a Partner that is a school, district, charter network (charter management organization) or other educational agency or institution.
- Order Form: an order form or quote for your Plan that both of us have signed.
- School-managed Account: an Account created through a join link of a School that accepts only email addresses from that School's own email domain.
Words with capital letters that are not defined here have the meanings given in the Terms of Service.
3.Seats
3.1 Who may hold a Seat
- Seats are only for students you actually teach, tutor or enroll. You may not resell, rent, lend or give Seats to anyone else, or sell access to Corvano as a product of its own. Including Corvano in the price of your own tutoring or classes is fine.
- Every Student must be at least 13. Don't invite anyone you know or believe to be under 13.
- For every Student under 18 (or under the age of majority where they live), you confirm that you have their Parent's permission for them to use Corvano through you, or that you are a School acting within your authority to provide educational services.
- You are responsible for any notice to, or consent from, Students and their families that the law requires of you for your use of Corvano.
3.2 How Students join and leave
- You invite Students with a link, a code, a QR poster, an email or an uploaded list. Each Student accepts on their own screen, after seeing who is offering the Seat and what you will be able to see. There is no way to search for or add a Corvano Account that hasn't asked to join. Invite only people you have a relationship with; our invitation emails are sent at your request.
- A Student who already has an Account keeps everything in it. A Student who leaves, or whose Seat you remove, keeps their Account and returns to the free plan or to their own Paid Plan, except a School-managed Account, which is handled as the DPA provides. If a School removes a Student's Seat without telling us what to do with a School-managed Account, we ask the School whether the Student may have their own content copied into a Personal Account before we delete it, as the DPA provides.
- A Student can leave at any time from their Account, except an Account a School manages (section 5.4), which the School controls.
3.3 Changing who holds a Seat
Removing a Student frees their Seat straight away. So that one Seat can't be passed around a whole class, you can remove up to half of your Plan's Seats in any calendar month. Removals are unlimited during the first 30 days of a Plan or a school term, while rosters settle. Students leaving on their own never count against the limit.
3.4 What a Seat includes
While a Student holds a Seat in an active Plan, they have Corvano Plus features on Corvano and Corvano Prep, with AI use drawn from your Pool as section 4 describes, and no ads. A Student who already pays for a higher plan keeps it. A Student who pays for their own plan can cancel it; we show them how, but we never cancel it for them, except that deleting a School-managed Account ends it and the unused part is refunded (Terms of Service section 3.3).
4.The AI Pool and Credits
- Each Seat adds Credits to your Pool: on tutoring Plans, a set number every month; on School Plans, a set number for the semester or school year. Your Plan page and Order Form show the amounts.
- AI Features (the AI tutor, hints, mistake explanations, set checks and suggestions, AI-written sets and tests, study guides, card pictures and free-response grading) use Credits. Practice questions and the written explanations that come with them, full-length and section exams, Exam Studio exams, flashcards, the study modes themselves, and assignments do not; the AI features inside them (the tutor, hints and graded written answers) do.
- Each Student can use up to the same amount a Corvano Plus subscriber could in the same windows, so no single Student can empty the Pool. When the Pool runs out, each Student falls back to their own personal allowance until the Pool resets or you add a credit pack. Nothing else locks.
- Credits measure AI use. They have no cash value, can't be transferred, sold or refunded, and expire when the Pool period ends. Credit packs last until the end of the Pool period in which you buy them.
- We may make Pools larger at any time. We won't make your Pool smaller during a period you have paid for.
5.Student Information
5.1 What you can see
For each person who has asked for one of your Seats and is waiting for approval, the Console shows your authorized Staff only their name, email address and the group they asked to join. For each Student who holds one of your Seats, it shows: their name and email address, the group you put them in, when they were last active, the practice questions they answered since they joined you (up to the last 90 days) with accuracy by section, domain and skill, their latest practice-exam scores and score estimates since they joined, their weakest skill, their streaks, the assignments and Exam Studio exams you set them and their results, and how many Pool Credits they used. Everything in this list is calculated only from activity since the Student joined you; their streak counts only days since they joined. Owners, admins and tutors (shown as teachers in a School) may also receive a weekly email summary with this information. Tutors and teachers see only the groups they lead.
You never see a Student's own study sets and folders, conversations with Corbie and the other AI tutors, notes or files the Student uploads, study guides, payment details, or anything not in the list above, and you see nothing about any Account that has not asked to join you. When a Seat ends or a request expires, you stop seeing that Student's information, except the Console activity-log entry that the Seat started or ended, with the Student's name.
5.2 How you may use it
- Only to teach, tutor, advise or support the Student, and to run your program.
- Never to sell, rent or share it with anyone else (except your own Staff who need it and your service providers bound by confidentiality), never for advertising or marketing unrelated to your services to that Student, and never to build profiles for any other purpose.
- Keep exports (such as the roster or a score export) and emails secure, share them only with Staff who need them, and delete them when you no longer need them.
- Follow the privacy and education laws that apply to you, including those that protect minors' information.
5.3 Security incidents on your side
Tell us at partners@corvano.app within 72 hours if you believe someone has accessed your Console, a Staff Account or Student Information without permission, and help us contain it.
5.4 Schools
When a School uses Corvano, we act as a "school official" with a legitimate educational interest under the Family Educational Rights and Privacy Act, under the School's direct control over the use and maintenance of education records, and we handle its Student Data (as the DPA defines it) as the DPA sets out. No Student can join a School's Seats until the DPA is signed. For School-managed Accounts, the School decides whether the Student can leave, and can ask us to delete the Account, as the DPA provides.
5.5 Our side
We handle Students' personal information as our Privacy Policy describes: no ads on any Seat or School-managed Account (including while it waits for deletion), no sale, AI tutoring and generation requests only to providers that don't keep the content or train on it (some automated checks, such as routing and grading decisions, use a provider that is not covered by that zero-retention setting, as the Privacy Policy and our Subprocessors page state; for Students seated by a School or with a School-managed Account, we send text to that provider, TypeSafe, only under written terms that bar it from keeping or training on it, and where those terms aren't in place those checks don't use that text), no name, email address or account ID attached to any AI request (text a Student types is sent as written), and, for Students seated by a School or with a School-managed Account, no analytics, no offers and no invite rewards. Each of us is responsible for its own compliance with the laws that apply to it.
6.Staff accounts and security
- Staff Accounts are free. Your Plan includes up to the number of Staff Accounts shown in the Console (today, the greater of 3 or one for every 10 Seats, counting open invitations); we may change that number for future periods, and we may end free Plus for Staff Accounts that are misused. Each is one person's own Corvano Account; don't share them. While your organization is on Corvano (a trial, pilot or paid Plan), every active Staff member's Account includes Corvano Plus at no extra cost. Their AI use comes from their own Plus allowance, never from your shared Pool, and they don't take a Seat.
- You choose each person's role. Tutors and teachers see only the groups they lead. Owners, admins, billing contacts and anyone using Exam Studio must use two-step verification.
- You are responsible for what your Staff do in the Console and for removing people who leave your organization.
- We keep a log of Staff actions in the Console, which owners and admins can read.
7.Plans, trials, billing and renewal
7.1 Prices
Prices are on corvano.app/partner, in the Console when you choose a Plan, or on your Order Form or quote, and are in US dollars, before any tax that applies. You pay any sales, use or similar taxes on your purchase, except taxes on our income. If you are tax-exempt, send us your exemption certificate.
7.2 Automatic renewal and cancelling
MONTHLY AND ANNUAL PLANS PAID BY CARD RENEW AUTOMATICALLY AT THE END OF EACH PERIOD, AT THE THEN-CURRENT PRICE, UNTIL YOU CANCEL. WE CHARGE THE PAYMENT METHOD ON FILE AT THE START OF EACH PERIOD.
- You can cancel at any time on the Console's Billing page. Cancelling stops the next renewal; your Plan, Seats and Pool stay active until the end of the period you already paid for.
- For annual Plans paid by card, we email your billing contact 30 to 40 days before each renewal, and again 7 to 14 days before it, with the renewal price, the renewal date and how to cancel.
- Invoiced Plans renew only as your Order Form says.
- We don't give refunds or credits for partial periods, unused Seats or unused Credits, except where the law requires it or these Partner Terms, an Order Form or the DPA say otherwise.
7.3 First-term refund for Schools
For a School's first term with us, the School can cancel within 30 days after the term starts for a full refund of that term.
7.4 Seats, credit packs and price changes
- Adding Seats mid-period is charged in proportion to the time left. Removing Seats takes effect straight away, with no refund or credit for the rest of the period, and you can't go below the number of Students currently seated.
- We may change prices for future periods. We will tell you at least 30 days before a change affects you, and you can cancel before it does.
- Founding Partners keep the price they signed up at for 24 months from their first paid period, as long as their Plan stays active.
7.5 Trials, pilots and free months
- A tutoring trial lasts 14 days, with 10 Seats and a smaller Pool, and needs no card. When it ends, Seats stop unless you choose a Plan.
- A School pilot is free for 30 days for up to 40 Seats, and starts once the DPA is signed. When it ends, Seats stop unless the School buys a Plan.
- If we offer a free first month at checkout (for example, to Founding Partners or organizations referred by another Partner), the card you give is charged when the free month ends, and the Plan then renews as section 7.2 describes, unless you cancel before the free month ends. The checkout page shows the date of the first charge, and we email your billing contact a confirmation after checkout and a reminder before the free month ends.
- We offer one trial or pilot per organization.
7.6 Invoices
School and assisted Plans may be paid by invoice. Invoices are due within 30 days, by card or bank transfer through the invoice link. A purchase-order number goes on the invoice if you give us one. If an invoice is more than 30 days overdue, we may suspend new Seats after telling you, and we may suspend the Plan if it stays unpaid 15 days after that notice.
7.7 Card payments and referrals
Card payments are processed by Stripe; we don't store full card numbers. If another organization joins with your referral and pays, we may give you account credit as the Console describes. Credit has no cash value.
8.Exam Studio
If your Plan includes Exam Studio or you add it, your organization must accept the Content License & Confidentiality Addendum before first use, and each person who builds exams accepts the Exam Studio Use Terms. Studio exams are delivered only inside Corvano. Scores can be exported; questions can't.
9.Acceptable use
In addition to the rules in the Corvano Terms of Service and Community Guidelines, you and your Staff must not:
- resell, sublicense or share Seats, the Console or Exam Studio outside your organization;
- add Students who haven't agreed to join, or pressure a Student to join as a condition unrelated to your services;
- rotate a Seat among several Students to get around the Seat count or the swap limit;
- copy, scrape, export or collect Corvano's questions, explanations or other content, except the exports the Console offers;
- use Corvano, its content or its data to build a competing product or to train AI models;
- use Student Information in any way section 5 doesn't allow;
- use Corvano scores, score estimates, AI-graded answers or other AI Output as the only basis for a decision about a Student's grades, placement, admission, discipline or eligibility for a program; or
- misrepresent your relationship with Havra, or suggest Corvano is affiliated with the College Board or ACT.
10.Names, logos and publicity
- You let us show your organization's name and the logo you upload to your Students and invitees: on the join page, their dashboard and in invitation emails. You confirm you have the right to use that logo.
- You may tell your Students and families that you provide Corvano, and use the Corvano name for that. Don't change our logo or suggest we endorse your services.
- We won't name you publicly as a Partner or quote you without your permission. Founding Partners give that permission when they join the Founding Partner offer, and approve any quote before we use it.
11.Suspension and ending
- You can end your Plan by cancelling as section 7 describes.
- We may suspend or end your Plan, a Staff Account or Exam Studio access if you seriously or repeatedly break the Partner Terms, misuse Student Information, leak Exam Studio content, don't pay, or if we must to comply with the law. Where we can, we tell you first and give you a chance to fix the problem.
- When a Plan ends: Seats stop; Students keep their Accounts, sets and history and return to the free plan or their own plan (School-managed Accounts are deleted as the DPA provides, after any copy of the Student's own content that the DPA allows); your Staff lose access to the Console and to your Students' information. We keep the records of your Plan, Seats and Console activity that we need for billing, security and legal reasons, as our Privacy Policy describes, except that a School's records are handled as the DPA provides.
- A School can ask us to delete the Accounts it manages when its contract ends or at any time, as the DPA provides.
- We may suspend or close a Student's or Staff member's Account under the Terms of Service and Community Guidelines. The Seat then becomes free for another Student; this doesn't change your fees. For a School-managed Account we tell the School's account owners, as the DPA provides, unless the law or law enforcement asks us not to, or telling them would put a student at risk or compromise an investigation.
- Sections 5.2, 5.3, 9 and 12 to 19 continue after the Plan ends.
12.Confidentiality
Each of us will keep the other's non-public business information (such as pricing in a quote, our question bank, or your Student roster) confidential, use it only for this agreement, and protect it with at least reasonable care. This doesn't cover information that is public through no fault of the receiving party, that the receiving party already had or independently developed, or that must be disclosed by law (with notice to the other party where the law allows). A School subject to public-records laws may disclose what those laws require, after telling us where the law allows so that we can seek protection.
13.Promises and disclaimers
We will provide the program with reasonable skill and care, and we won't materially reduce what a Seat includes during a period you have paid for.
EXCEPT FOR THE PROMISES IN THE PARTNER TERMS AND THE DPA, AND TO THE EXTENT THE LAW ALLOWS, CORVANO IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. PRACTICE SCORES AND ESTIMATES ARE NOT OFFICIAL SCORES, AND WE DO NOT PROMISE ANY SCORE, GRADE, ADMISSION OR OTHER RESULT, OR THAT CORVANO WILL BE UNINTERRUPTED OR ERROR-FREE. AI OUTPUT CAN BE WRONG, AND YOU AND YOUR STAFF ARE RESPONSIBLE FOR HOW YOU USE IT IN YOUR TEACHING.
14.Limitation of liability
TO THE EXTENT THE LAW ALLOWS: (A) NEITHER OF US IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR GOODWILL; (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID OR OWE US UNDER IT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100; AND (C) FOR A PARTY'S BREACH OF SECTION 5 (STUDENT INFORMATION), SECTION 12 (CONFIDENTIALITY) OR THE DPA, EACH PARTY'S TOTAL LIABILITY IS INSTEAD LIMITED TO THE GREATER OF THREE TIMES THOSE AMOUNTS OR US$1,000, EXCEPT THAT YOUR BREACH OF THE CONTENT LICENSE & CONFIDENTIALITY ADDENDUM IS NOT LIMITED, EVEN WHERE IT IS ALSO A BREACH OF SECTION 12.
THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, TO YOUR BREACH OF THE CONTENT LICENSE & CONFIDENTIALITY ADDENDUM, TO YOUR INDEMNITY OBLIGATIONS UNDER SECTION 15, OR TO A PARTY'S FRAUD OR WILLFUL MISCONDUCT. OUR TOTAL LIABILITY UNDER SECTION 15 IS LIMITED TO THE GREATER OF TWO TIMES THE FEES YOU PAID OR OWE US IN THE 12 MONTHS BEFORE THE CLAIM, OR US$1,000. THIS IS OUR ONLY LIABILITY FOR INFRINGEMENT CLAIMS AND IS NOT ADDED TO THE LIMITS IN (B) OR (C). COSTS WE AGREE TO PAY UNDER SECTION 9 OF THE DPA ARE DIRECT DAMAGES AND COUNT TOWARD THE LIMIT IN (C).
15.Indemnity
- Yours. You will defend and indemnify Havra and its members, managers, employees and contractors against third-party claims arising from: your breach of sections 3, 5 or 9 (including a claim that a Student was added without the permission or authority section 3.1 requires); your or your Staff's teaching, services or dealings with Students and their families, including decisions about Students that use Corvano results; a confirmation you give us under section 11 of the DPA (a parent's consent); and the logo or other material you upload.
- Ours. We will defend and indemnify you against third-party claims that the questions, passages and explanations in Corvano's question bank, as we provide them, infringe someone's intellectual property rights. This doesn't cover AI Output generated at a user's request, content you, your Staff or your Students add, combinations with other material, your changes, or your use of Corvano in breach of the Partner Terms. If content is claimed, or we think it may be claimed, to infringe, we may modify, replace or remove it, or end the affected part of your Plan and refund prepaid fees for the rest of the Term. THIS SECTION STATES OUR ENTIRE LIABILITY, AND YOUR ONLY REMEDY, FOR INFRINGEMENT CLAIMS.
- How it works. The party claiming indemnity must tell the other promptly, let it control the defense and settlement (but no settlement may admit fault for, or impose obligations on, the indemnified party without its consent), and cooperate. Public Schools and agencies indemnify only to the extent the law allows them to.
16.Changes to the Partner Terms
We may update the Partner Terms. For a change that materially affects you, we will give at least 30 days' notice by email or in the Console, and the change applies from your next period. If you don't agree, you can cancel before it applies. A signed Order Form or DPA changes only if both of us sign the change.
17.Governing law and disputes
The Partner Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Florida, and each of us agrees to their jurisdiction. Before going to court (except to seek urgent relief), each of us will raise the dispute in writing with the other and try in good faith to resolve it for 30 days. If you are a public School, district or government body and the law that governs you requires a different governing law, venue or process, that requirement applies instead, and your Order Form or DPA may say so. Either party may seek an injunction in any court to protect its confidential information, intellectual property or Student Information.
TO THE EXTENT THE LAW ALLOWS, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THE PARTNER TERMS.
18.General terms
- Entire agreement. The Partner Terms, with the documents listed in section 1.2, are the whole agreement about the Partner Program.
- Assignment. Neither of us may assign this agreement without the other's consent, except that either of us may assign it to a successor in a merger, acquisition, reorganization or sale of all or substantially all of the relevant business or assets, with notice to the other no later than 30 days after the transfer. Student Data moves to a successor only as section 14 of the DPA provides, and the School's right in that section to object and end its Plan applies to any assignment of this agreement or the DPA. A change in who owns Havra is not an assignment.
- Subcontractors and tools. We may use service providers, subcontractors and software tools, including automated and AI tools, to provide the program, as our Subprocessors page lists for personal information. We remain responsible for their work under this agreement.
- Independent contractors. Nothing here creates a partnership, joint venture, agency or employment relationship.
- Severability and waiver. If a provision can't be enforced, the rest still applies. Not enforcing a provision isn't a waiver.
- Events outside our control. Neither of us is responsible for delays caused by events beyond reasonable control, other than payment obligations.
- Export laws. Each of us will comply with US export control and sanctions laws in connection with Corvano.
- Notices. Notices to us go to partners@corvano.app (and, for legal notices, legal@corvano.app); notices to you go to the billing email or an owner's email in the Console.
- Signatures. This agreement and any Order Form may be accepted electronically and signed in counterparts.
- Third parties. Nothing in the Partner Terms, an Order Form or a DPA gives rights to anyone other than you and Havra, except that Havra's members, managers, employees and contractors may rely on sections 13, 14 and 15. Students and families have the rights that the Terms of Service and the Privacy Policy give them.
